Terms and Conditions
C.A-Style, hereafter referred to as C.A-Style is authorized to execute the project as outlined in this Terms & conditions. Initial version of work starts after the deposit and the materials necessary to proceed, are received.
1. REJECTION/CANCELLATION OF PROJECT
The Client may cancel the projects in writing, by personal delivery or certified mail, except that the invoice may include that were orally authorized by the Client. The client shall not unreasonably withhold acceptance of, or payment for, the project. If, prior to completion of the project, the client observes any nonconformance with the design plan, C.A-Style must be promptly notified in writing, allowing for necessary corrections. Rejection of the completed project or cancellation during its execution will result in forfeiture of all or a portion of the deposit and the possible billing for all additional labor or expenses to date. All elements of the project must then be returned to C.A-Style. Any usage by the client of those design elements will result in appropriate legal action. Client shall bear all costs, expenses, and reasonable attorney’s fees in any action brought to recover payment under this contract.
2. COPYRIGHT
The Client owns copyrights to:
Original images and any content provided and/or purchased by Client.
C.A-Style owns copyrights to:
icon, map, diagram and /or illustration created by C.A-Style, and the design itself (graphic design, layout etc.).
Copyrights to work-up files are specifically not transferred to the Client, and remain the property of their respective owners, even after a project is complete. Working files include but are not limited to vector files, graphics, layered files, fonts. C.A-Style reserves the right not to release these files, and charge fees for providing files at its own discretion.
The intellectual property right remains its designers.
3. COPYRIGHT USE & RE-PRODUCTION OF WORK
The client is vested full reproduction rights for logo design and/or caricature design upon payment for completed project.
C.A-Style retains the right to use the completed project and any elements of the design for the purpose of the marketing of C.A-Style’s business (such as display as examples of the work in the portfolio), educational purposes, and future publications on design.
4. INDEMNIFICATION
Client confirms that all images and contents provided by Client are owned by Client, or Client possesses right to use. Client hereby agrees to defend, indemnify and hold harmless to C.A-Style against liabilities arising from any claim resulting from the Client’s publication of material or use of those materials. This includes infringing on the proprietary right of a third party, copyright infringement, and delivering of any defective product or misinformation which is detrimental to another person, organization, or business.
5. LIMITATION OF LIABILITY
While C.A-Style will use all reasonable efforts in the development of the Project and endeavor to complete and deliver the Project to Client, under no circumstances shall C.A-Style or its associates be liable for any direct, indirect, incidental, special or consequential damages which arise from C.A-Style’s failure to perform any aspect of the Project in a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of C.A-Style or a third party and/or that occur outside of the consequences of C.A-Style’s direct actions in the agreement. All disputes will be subject to binding arbitration. Any arbitration will be happen in Gold Coast Australia.
6. ACCEPTING ARTWORKS
Please note that we draw a caricature properly according to the submitted digital photograph. We cannot change the expressions anyway (eg. angry face to smiley face). Therefore it is important that you submit the digital images in your favorite expressions and costumes and poses(whole body drawings at extra cost).
When accepting final proof of the artwork, the client is held fully responsible for accepting all content. This includes design, spelling, grammar, numbers, layout and all content. C.A-Style is neither liable nor responsible for the spelling mistake, omissions, layout accuracy and/or any other errors after a proof has been checked by Client and the Client has authorized .
